Flik FX is exploring the potential of community bonds as a means to engage local investors and fund community-centric projects. The company seeks to establish a legal framework for these bonds and assess their attractiveness to potential investors. The project aims to provide a comprehensive analysis of the legal requirements and investor readiness for community bonds. Students will research existing legal frameworks, identify key regulatory considerations, and evaluate investor interest and potential barriers. The goal is to equip Flik FX with a clear understanding of the steps needed to implement community bonds effectively, ensuring compliance and maximizing investor engagement.

Deliverables

Objective: To prepare all legal, financial, operational, and compliance materials required for Flik Fx to confidently launch and manage a $1 million community bond campaign. This project ensures that once the Bond Builder App is live, Flik Fx is fully back-end ready to accept investment in a legal, scalable, and investor-friendly way.

This project focuses on the legal and strategic infrastructure needed to:

  • Legally issue bonds in Ontario and/or other Canadian provinces
  • Build investor trust through transparent and professional documents
  • Prepare scalable operational systems for ongoing bond management
  • Create the narrative, messaging, and compliance backbone for future investor relations


Core Research & Deliverables:

1. Legal & Regulatory Research Report

  • Summarize securities regulations for issuing community bonds in Ontario, including:
  • Use of Offering Memorandum Exemption
  • Accredited investor criteria
  • Non-profit vs for-profit bond issuance legal structures
  • Disclosures required by OSC, FSRA, CRA
  • Compare alternative structures: promissory notes, SAFEs, convertible debt
  • List trusted legal advisors or law firms experienced in social finance
  • Provide a simple “legal flowchart” showing the approval process
  • Identify timelines for approval, and potential costs (legal fees, filing fees)

2. Community Bond Agreement Templates

  • Draft 3 legally sound bond templates:
  • 3% for 5 years
  • 4.5% for 5 years
  • 6% for 3 years
  • Include:
  • Clear investment terms
  • Risk disclaimers and security language
  • Schedule of returns and payout mechanics
  • Exit or buyback options
  • Terms of default and investor protection
  • Use plain language summary boxes for accessibility
  • Ensure formatting is ready for digital signing platforms (DocuSign, PandaDoc)
  • Optional: translate a summary into French or investor-friendly infographics

3. 5-Year Financial Modeling Toolkit
